1. Agreement Overview and Acceptance
1.1 Binding Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between Innovation Synergy AI Inc. ("Company," "we," "us," or "our") and you ("Customer," "Client," "you," or "your") regarding your use of our AI voice agent services, including the Isabella Concierge platform, and related services (collectively, the "Services").
1.2 Acceptance of Terms
By accessing our website (miamiagents.ai), executing a service agreement, or using our Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use our Services.
1.4 AI Service Disclosure
IMPORTANT NOTICE: Our Services utilize artificial intelligence and machine learning technologies. By using our Services, you acknowledge and consent to interacting with AI systems for voice processing, natural language understanding, and automated response generation. All interactions with Isabella Concierge involve AI technology, not human operators, unless explicitly stated otherwise.
2. Description of Services

Innovation Synergy AI Inc. provides ultra-elite multilingual AI voice agent services specifically designed for luxury hospitality properties. Our flagship service, Isabella Concierge, offers:

3. Payment Terms and Billing
3.1 Subscription Fees and Pricing
Service fees are based on the selected tier and are billed monthly in advance. All fees are exclusive of applicable taxes, duties, and governmental assessments, which shall be your responsibility.
3.2 Payment Schedule and Methods
- • Monthly subscription fees are due on the first day of each billing cycle
- • Payment must be made by credit card, ACH transfer, or wire transfer
- • Initial payment is due upon service activation
- • Automatic renewal and billing unless terminated in accordance with these Terms
4. Data Privacy, Security, and Processing
4.1 Data Ownership and Rights
- • You retain ownership of all Customer Data provided to or generated through our Services
- • We obtain a limited license to use Customer Data solely for providing Services
- • Customer Data includes guest information, voice recordings, preferences, and interaction logs
- • You are responsible for ensuring you have appropriate rights to provide Customer Data to us
4.2 Data Security Measures
- • End-to-end encryption for voice communications
- • AES-256 encryption for data at rest
- • TLS 1.3 for data transmission
- • Multi-factor authentication and access controls
- • Regular security audits and penetration testing
- • SOC 2 Type II compliance and certification
5. Limitation of Liability
5.1 Liability Cap
EXCEPT FOR EXCLUDED CLAIMS (DEFINED BELOW), EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM.
5.2 Excluded Damages
IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES.
